Terms and conditions

  

1. Acceptance of Terms

By accessing or using the services provided by Noah Wire Services (“NoahWire”, “we”, “us”, or “our”), you (“you” or “Customer”) agree to be bound by these Terms of Business. If you do not agree, you are not authorised to use the services.

  

2. Nature of the Service

NoahWire provides a research, monitoring, and story-development service designed for professional publishers, journalists, editors, and communications teams.

NoahWire does not:

  • Publish content;
  • Permit automated or direct publication;
  • Exercise editorial control over published material; or
  • Act as a publisher, editor, or broadcaster.

All content supplied by NoahWire is provided for editorial consideration only, together with references, factual summaries, source rationale, and confidence indicators intended to support professional judgement.

  

3. Editorial Responsibility

You acknowledge and agree that:

  • All NoahWire content must be reviewed by a competent journalist      and/or editor prior to publication.
  • NoahWire content is not intended to be published verbatim without      human review.
  • Final decisions relating to accuracy, prominence, tone, legality,      and publication rest solely with you as publisher.

Nothing in this Agreement transfers publisher liability to NoahWire.

Where NoahWire supplies accompanying research notes, source summaries, verification flags, confidence indicators, or fact-checking assessments (including any pass, open, or fail status), you agree that such materials form an integral part of the content package and must be reviewed as part of your editorial process prior to publication.

You acknowledge that these materials are provided to assist professional judgement and to highlight areas requiring additional scrutiny, and that failure to consider them may materially affect the legal and editorial risk of publication.

  

4. Intellectual Property Rights

All intellectual property rights in the NoahWire platform, systems, workflows, and underlying technology remain the property of NoahWire or its licensors.

No ownership rights are transferred to you except as expressly set out below.

  

5. Content Ownership and Copyright Assurance

5.1 Transformation and Originality
NoahWire generates content by analysing publicly available factual information and open-web sources, which are materially transformed through independent research, synthesis, and original expression.

NoahWire does not knowingly reproduce third-party copyrighted text, does not access paywalled sources, and does not licence third-party content for republication.

5.2 Customer Rights
Subject to these Terms, you are granted the right to use, edit, reproduce, distribute, and publish NoahWire-generated content.

5.3 Source Transparency
NoahWire may provide links to original source materials for reference and verification. You agree not to republish third-party source material unless separately licensed or permitted by law.

  

6. Indemnity for Intellectual Property Claims

6.1 Indemnity Grant
Subject strictly to the conditions below, NoahWire shall indemnify, defend, and hold you harmless from any third-party claim alleging copyright infringement arising solely from the publication of NoahWire-generated content in its original, unaltered form as supplied.

This indemnity applies only where the claim relates directly to the expressive content generated by NoahWire.

  

6.2 Conditions Precedent
The indemnity in clause 6.1 applies only if you:

(a) notify NoahWire promptly and in writing of any claim or allegation;
(b) remove or suspend the disputed content immediately upon request or notice;
(c) do not admit liability or engage with the complainant without NoahWire’s consent;
(d) have not materially modified the content; and
(e) have subjected the content to normal journalistic and/or editorial review prior to publication.

Failure to comply with any condition voids the indemnity.

  

6.3 Exclusions
The indemnity does not apply to claims arising from:

  • Editorial changes, headlines, imagery, captions, or contextual      framing added by you;
  • Combination with other content or selective quotation;
  • Republishing or embedding third-party source material;
  • Continued publication after warning or takedown request;
  • Use in advertising, affiliate, or promotional contexts not      disclosed to NoahWire;
  • Failure to act on guidance, caveats, or confidence indicators      supplied with the content.
  • Failure      to review, consider, or act reasonably upon any accompanying fact-checking      notes, verification status, confidence indicators, or research guidance      supplied with the content.

  

6.4 Allocation of Responsibility
You acknowledge that NoahWire supplies research-assisted draft material, not finished journalism. Responsibility for publication decisions and legal risk remains with you as publisher.

Where liability arises from a combination of NoahWire content and your editorial judgement, NoahWire shall not be responsible for losses attributable to editorial decisions.

  

7. Prohibited Uses

You may not use the services for unlawful purposes, infringement of rights, misleading publication, or distribution of malicious code, or in any manner that interferes with system integrity.

  

8. Third-Party Links

References or links to third-party sites are provided for convenience only. NoahWire accepts no responsibility for third-party content.

  

9. Data and Backup Responsibility

You are responsible for maintaining backups of your content. NoahWire makes no guarantee of data retention or restoration.

  

10. Limitation of Liability

To the maximum extent permitted by law, NoahWire shall not be liable for indirect, consequential, reputational, or punitive damages, or for losses arising from continued publication after notice.

  

11. Severability

If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.

  

12. Governing Law

This Agreement shall be governed by the laws of the State of California, United States, provided that mandatory statutory protections under the laws of England and Wales and the European Union shall apply where they cannot lawfully be excluded.

  

13. Jurisdiction

Subject to mandatory local law:

  • The courts of California, United States, shall have      primary and exclusive jurisdiction.
  • Where claims must be brought in the UK or EU, the courts of England      and Wales shall have non-exclusive jurisdiction.

Judgments may be enforced in any competent jurisdiction.

  

14. UK and EU Regulatory Position

Nothing in this Agreement shall be construed as:

  • Making NoahWire a publisher under UK defamation law;
  • Conferring editorial control on NoahWire; or
  • Creating liability under the EU Digital Services Act.

You remain solely responsible for compliance with all applicable publication laws.

  

15. Changes to Terms

We may update these Terms from time to time. Continued use constitutes acceptance.
